AUTOHUNTER DIGITAL MEDIA (hereafter ADM) AND CITYHUES.COM CORPORATION AND ITS AFFILIATES DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE INFORMATION, SERVICES, AND MATERIALS CONTAINED ON THIS SITE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALL SUCH INFORMATION, SERVICES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

Limitation of Liability

IN NO EVENT SHALL ADM AND CITYHUES.COM CORPORATION OR ANY AFFILIATED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, BUSINESS, DATA OR PROFITS, LITIGATION AND THE LIKE, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THIS AGREEMENT AND THE SITE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS.

Indemnification
You agree to indemnify, defend and hold harmless AutoHunter Digital Media and Cityhues.com Corporation and its affiliates from any liability, loss, claim and expense (including attorneys' reasonable fees) related to (i) your violation of this agreement, and (ii) your posting of material to the ADM sites.

Changes to Site
AutoHunter Digital Media (hereafter referred to as ADM) and Cityhues.com Corporation may make improvements or changes in the information, services, products, and other materials on this site, or terminate this site, or any particular service offering, at any time without notice. For further clarity, ADM reserves the right at any time to change, modify, re-engineer, add or subtract from any part or parts of the ADM sites or from any portion, page or portal that constitutes the ADM web sites, without notice.

ADM and Cityhues.com Corporation may modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement. Accordingly, you agree to review the agreement periodically, and your continued access or use of this site shall be deemed your acceptance of the modified agreement.

Vehicle Inventory Listings
You are responsible for conducting your own investigation regarding any and all claims made by potential buyers and vehicle owners. You assume all liability for use of any information you find on the AutoHunter.ca site. Auto Sellers are responsible for the accuracy of the information on their web pages and Autohunter listings.

Dealer clients (you) are responsible for adding, deleting and updating their inventory which is listed on the ADM sites. In addition the dealer is responsible for any and all content displayed on their ADM LotPage™, including pricing information, vehicle descriptions, warranty information, etc.

AutoHunter.ca and Cityhues.com Corporation assumes no responsibility for the accuracy of advertisements on the ADM web sites nor the condition or merchantability of the vehicle or equipment associated with the advertisement. It is the sole responsibility of the dealer to maintain the accuracy and validity of each vehicle listing.

ADM and Cityhues.com Corporation are not responsible for buyers of vehicles. It is the sole responsibility of the dealer to validate the qualifications of the potential buyers.

ADM and Cityhues.com Corporation takes no responsibility for the validity of the photos on this site, or any sites linked herefrom. Auto Dealers who upload photos for their ad(s) assert that the photos are their own property and these same dealers have the publishing rights to said photos.

PhoneBoss™
As an addition to the basic listing service, ADM makes available PhoneBoss™ for monitoring incoming sales leads. This service is dependent on third party telecommunications companies and their networks. This is a voluntary service and as such ADM will not be held responsible for any interruption of the PhoneBoss™ service. It is the responsibility of the subscriber to alert any and all members of their staff that this is s recorded service and that their telephone conversations will be recorded. By accepting these conditions, the client absolves ADM and Cityhues.com Corporation, its owners, management, staff and associates of all and any liability, both jointly severally that may arise from the use of this system.

Billing Cycle
An AutoHunter.ca marketing System subscription will be billed on a monthly schedule. Commencing on the first working day of the monthly anniversary of service initation and billed in advance for the following one month period. All invoices are due upon receipt. Invoices shall be issued in monthly increments and will not be prorated or altered to reflect a part or portion of said month.

Policy for Inactive Listings
If you wish to deactivate any of your vehicle listings, you may temporarily deactivate the AutoHunter.ca ad and reactivate it at a future date by using your login ID, password, and associated administrative area.

Right to Terminate Service
ADM and Cityhues.com Corporation reserves the right to cancel any ad or subscription at its own discretion. In most cases, this would only occur if complaints are received from potential vehicle buyers regarding the validity of the ad, however, ADM and Cityhues.com Corporation reserves the right to cancel any ad at its sole discretion and for any reason, whatsoever.

The Dealer client or ADM may terminate service at any time and at their sole discretion for any reason whatsoever. Notice to terminate must be given by email to either party a minimum of four working days prior to the end of the billing cycle. Failure to do so will result in the client being held responsible for the following billing period and termination will result at the end of said period. All cancellation notices are to be emailed to support@autohunter.ca

Proprietary Rights
All materials on this site, except vehicle information and photos, (as well as the organization and-Layout of the site) are owned and copyrighted by ADM and Cityhues.com Corporation or its affiliates and may be accessed, downloaded or printed for your personal non-commercial use only. Without the prior written permission of ADM and Cityhues.com Corporation or its affiliates, you may not copy, distribute or transfer any material on this site, except for vehicle information and photos, for in whole or in part.

The materials on the ADM sites are the property of ADM and Cityhues.com Corporation or its licensors, and are protected by copyright laws and international conventions. Except as explicitly provided in this agreement, you may not distribute, transmit, display, reproduce, modify, create derivative works from, or otherwise exploit any of the materials on these sites. Requests for permission to reproduce or distribute materials found on AutoHunter.ca should be sent to our Customer Service Manager, AutoHunter.ca - Suite 128 - 1919b, 4th Street SW, Calgary, Alberta, Canada T2S 1W4.

You are free to establish a hypertext link to this site so long as the link does not state or imply any endorsement or sponsorship of you, your company, or your site by ADM or any of its affiliates. (Refer to our Link Library) However, without the prior written permission of ADM, you may not frame any of the content of the aDM sites, nor incorporate into another website or other service any intellectual property of ADM or its licensors.

AutoHunter.ca™ and the AutoHunter.ca logo, which are trademarks of Cityhues.com Corporation, are used by ADM under license from Cityhues.com Corporation. The names of other products and services referred to on the AutoHunter.ca sites may be the trademarks of their respective owners. Governance
This agreement and the resolution of any dispute related to this Agreement or the site shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without giving effect to any principles of conflicts of law. ADM and Cityhues.com Corporation's failure to insist upon strict enforcement of any provision of this agreement shall not be construed as a waiver of any provision or right. Any legal action or proceeding between ADM and Cityhues.com Corporation and you related to this agreement shall be brought exclusively in a provincial court of competent jurisdiction sitting in Calgary, Alberta.
